  Party A hereby agrees to lease and the fixtures detailed in Appendix II, fittings and equipment therein in cleaned and tenantable conditions to Party B(Party A should clean and check the property before party B moves in and assure that all the fixtures shall be in functioning condition)

  Term of Tenancy:

  2.1 租赁期为 年,自 年 月 日到 年 月 日止。租期满 个月后,乙

  方可以提前 个月书面通知甲方提前终止合同,无需承担任何责任。

  The above property is hereby leased for a term of year, Commencing on and

  expiring on . After months of stay, Party B may terminate this Agreement by giving month's prior notice in written without being liable therefore.

  2.2 在租期开始前,出租房屋及附件二所列设备应已装修或安装布置完毕,电话、宽带、电视均已

  开通,处于可供租赁的良好状态。甲方应按时交付出租房屋及附件二所列设备,如有逾期,乙方

  有权解除本租约,甲方应应返还乙方已付押金及剩余租金,并向乙方支付相当于两个月租金的违

  约金。

  The Leasing Premises and the furnitures detailed in Appendix II shall be fully renovated or installed and in tenantable condition, and the telephone, the internet and the cable TV(or satellite TV) shall be properly under service before the commencement of the lease. Party A must deliver the property and the furnitures detailed in Appendix II on time, if fails, Party B has the right to terminate this Agreement, and Party A shall return the deposit and prepaid rent to Party B and shall pay Party B the compensation of amount which equals to two month's rent.

  2.3 租期届满,甲方有权收回出租房屋及附件二所列全部设备,乙方亦应如期交还;乙方如要求续租,则享有优先续租权,但必须在本租约期满前 2个月向甲方提出书面申请,租金双方另行协商。租赁终止或解除时,如甲方不及时接收房屋,乙方有权将房屋钥匙按通讯地址寄给甲方,以此视为乙方交还完毕以及甲方验收合格。

  On expiry of this lease term, Party A has the right to take back the leased property(including all the furnitures detailed in Appendix II)in full, and Party B shall take back the leased property on time. If Party B wishes to renew the Leased Premise, Party B shall have the priority to renew the lease with a written notice 2 months in advance to Party A. The renewal rental shall be negotiated between the two parties upon extension.On expiration or termination of the lease, if Party A fails to take over the property in a timely manner, Party B may deliver the keys to the property to Party A, which shall constitute a completion of return by Party B and satisfactory acceptance by Party A.

  2.4 除本合同另有约定外,租赁期内乙方如需提前退租,应提前30日通知甲方,并向甲方支付相当

  于两个月租金的违约金。

  Unless other agreed in this Agreement, during the term of Agreement, If party B terminates the Tenancy Agreement, Party B shall inform Party A 30 days in advance and shall pay Party A the compensation which equals to two months's rent.

  3.2 租金每 个月支付一次,每次支付金额为 元。甲方应于每个支付周期开始日前10日内向乙方开具相应金额的租赁发票,乙方应在收到甲方正式完税发票后 个工作日内向甲方指定账户支付月租金。如若甲方未按时提供有关发票,乙方有权延付租金。若乙方收到发票后未按上述期限付款,则每逾期一日,应按未付租金的千分之三向甲方支付滞纳金。

  Party B shall pay each months rent which equals to RMB . Party A should provide with Party B the corresponding invoice within 10 days before the commencing date of each payment peoriod, and Party B should pay the rent to the desinated account of Party A within working days after receiving the invoice from Party A , In case Party A fails to do so, Party B shall have the right to with hold rental payment. In case Party B fails to pay the rent after receiving the invoice as agreed in the Tenancy, penalty of 3‰ for each overdue payment should be charged.

  3.4 租金以人民币支付。在本租约有效期内,租金不予调整。

  The rent shall be paid in RMB. The rent cannot be adjusted during the term of this Tenancy

  Agreement.

  第4条 押金:

  Deposit:

  4.1 本租约签订之日起 个工作日内且起租日前,乙方应向甲方缴付相当于 个月租金额的租赁押金计人民币 元。甲方应于乙方将水、电、煤、电话费、宽带等费用及其他损坏赔偿费用(如有)结清后7个工作日内将押金退还。

  Within working days after signing of this Lease Agreement and before the lease start date, Party B shall pay to Party A month's rent as deposit, and the amount of deposit is RMB in total. Party A shall return the deposit in full to Party B within 7 working days after all the utility fee and damage fees are cleared.

  4.3 甲方因乙方违反本合同的规定而受的损失,可在押金中扣抵合理数目,在甲方做出该种扣抵前,需书面通知乙方将被扣抵的金额和理由,乙方有权拒绝不合理或不公正的抵扣,不足部分乙方必须在接到甲方付款通知后 15 个工作日内补足。

  Party A may deduct a reasonable amount from the security deposit towards payment of any actual damages Party A may have incurred or suffered as a result of Party B's breach of this Agreement. Before making such deductions, Party A shall inform Party B with written notice of the amount which it intends to deduct and the reason for making such deductions. Party B shall be entitled to object to such deductions if Party B believes that such deductions are unreasonable or unjustified. If the security deposit is not sufficient, Party B must pay the deficiency within 15 working days of the receipt of a demand from Party A.

  4.4 押金以人民币支付,甲方收到押金时应向乙方开具收据。

  The deposit shall be paid in RMB. Party A shall issue an official receipt to Party B upon the receipt of deposit.

  第5条 其它费用:

  Other Charges:

  5.1 乙方在租赁期内所用的水、电、煤气(天然气),物业管理公司或公共事业部门将每月按房屋实际耗用量结算,由乙方按单缴付。

  During the period of Lease term, Party B shall pay monthly charges for usage of water, electricity, gas based on the actual consumption amount billed by the management office or relating government utility bureaus.

  5.2 乙方所用电话, 按电信部门相关标准收费,每月根据实际用量结算,由乙方按单缴付。

  Telephone bills shall be paid by Party B and based on the actual usage according to the relevant standard of the the telecommunication bureau.

  第6条 甲方的权利和义务:

  Landlord's Rights and Obligations:

  6.1 本租约签订后,甲方不得无故收回房屋,如甲方中途要求收回房屋或擅自解除合同,乙方有权拒绝。在征得乙方书面同意解除租约后,甲方应返还乙方已付押金及剩余租金,并向乙方支付相当于两个月租金的违约金。

  Party A is not permitted to take back the leased property or terminate this Agreement during the term of Agreement without any reason. If Party A wishes to do so, Party B has the right to refuse. Upon the written consent of Party B to terminate the Lease Agreement, Party A shall return the deposit and prepaid rent to Party B and shall pay Party B the compensation of amount which equals to two month's rent.

  6.2 甲方应确保房屋的各项附属设施以及家具家电均处于完好、可租赁状态。如上述各项出现损坏或不能正常工作,甲方在收到乙方发出的通知后24小时内迅速修理或修缮该损坏处。若3个日历日内甲方仍不能修缮或修缮无效,乙方有权停止并免于支付租金直到上述情况改进至乙方合理满意为止,直至上述影响居住的情况改进至乙方合理满意为止。情况严重影响乙方正常居住的,乙方有权以书面形式通知甲方解除本租赁合同,租金付至合同解除日,甲方应返还乙方已付押金及剩余租金,并向乙方支付相当于两个月租金的违约金。

  Party A will maintain and keep all the equipments and fixtures in good leasing condition.If any of them was damaged or cannot work in good manner, Party A should repair or remedy any defects within 24 hours after being notified of such defect by Party B, If Party A fails to improve the bad situation within three(3)calender days, Party B shall be entitled to withhold and exempt from Rent until rectification of the situation to be the reasonable satisfaction of Party B. If the events affected the normal living of the occupant of the Premises designated by Party B badly, Party B shall issue a written notice to Party A to terminate this Lease Agreement, Party A shall return the deposit and prepaid rent to Party B and shall pay Party B the compensation which equals to two months's rent.

  6.3 甲方谨在此声明及保证甲方为出租房屋的合法拥有人并有合法地位出租此房屋于乙方。就本合同及出租此出租房屋予乙方之事,甲方已取得所有有关机构的批准,包括政府批准及/或抵押权人的同意(如适用)甲方于本合同所做出的声明及保证,如有错误或违反者,甲方须就乙方因此而引致的任何损失、损害、支出及费用做出全部补偿。

  Party A hereby represents and warrants that Party A is the legal owner of the leasing Premises and has the necessary legal capacity to lease the property to Party B. Party A has also obtained all the necessary authorizations from all relevant authorities in the People's Republic of China in respect of this Lease Agreement and the leasing of the leasing Premises to Party B, including any necessary government approvals or registrations and/or mortgagee consent (if applicable) Party A shall continue to be liable to keep Party B fully indemnified against any costs, expenses, losses and damages suffered by Party B due to any breach of Party A to its above-mentioned guarantee.

  6.4 如在租赁期内,出租房屋发生所有权全部或部分的转移、或其他影响乙方权益的事情时(甲方出售

  房屋或者抵押房屋),甲方应保证所有权人或其他影响乙方权益的第三者,能继续遵守本合同所有条款。纵使出租房屋已被转移,如乙方于本合同下的权益受此等所有权人或第三所影响或损害,甲方须负责补偿乙方的所有损失。

  If during the lease term, all or part of the leasing Premises is transferred or mortgaged to a third party by Party A, or Party B's right to use the leased property is otherwise affected, Party A shall ensure that such transferee or third party having an effect on Party B's right to use the leasing Premises will continue to abide by the terms of this Lease Agreement. Even if the leased Premises is transferred where a transferee or a third party affects Party B's interests under this Lease Agreement, Party A shall continue to be liable to keep Party B fully indemnified against all damages suffered by Party B.

  6.5 甲方应提供无毒无害的居住环境。如果该房屋中存在有害气体、噪音或者其他危害健康的情形,

  经执证机关通过专业检测后证明房屋内的有害气体、噪音或者其他情形确实超过国家规定的健康标准的,乙方有权凭检测报告解除本协议,甲方应返还乙方全额押金和剩余租金。

  Party A shall provide harmless circumstance. If there is poisonous gas, and other cases which are hazardous to health in the apartment, which exceed the standard regulated by government, Party B has the right to terminate this Agreement immediately. Party A shall refund the whole amount of deposit and the prepaid rent to Party B.

  6.6 除本合同另有约定外,若甲方违反此租约的任何条款并在乙方发出书面通知15天后仍未改正,乙

  方有权解除此租约,收回押金,且有权要求甲方支付相当于两个月租金的违约金,同时租金付至

  合同解除日。

  Unless other agreed in this Agreement, Party B shall have the right to terminate the Lease Agreement when Party A breaches the Lease Agreement and fails to remedy the breach after fifteen(15) days of giving written notification of Party B. Party B shall be entitled to withdraw the deposit and request Party A to undertake the compensation which equals to two months's rent. The rental should be paid till the termination of Agreement.

  第7条 乙方权利和义务:

  Tenant's Rights and Obligations:

  7.1 乙方应按期交纳押金、租金及其他费用。若超过限定期限30个工作日,乙方无正当理由仍未支付的,则甲方有权解除本租约,并要求乙方承担相当于两个月租金的违约金。

  Party B should pay the deposit, rent and other charges according to the Agreement term. If Party B fails to pay the above mentioned fee for over 30 working days without justful reason, Party A has the right to terminate this agreement, Party B shall pay Party A the compensation of amount which equals to two month's rent.

  7.2 租赁期内未经甲方同意,乙方不能转租其所租房屋,私自转租无效。

  During the lease term, unless with the agreement of Party A, Party B cannot sub-let or let in part or in full the leasing Premises.

  7.3 乙方应爱护房屋及其设备,如因使用不当而导致损坏,乙方应负责赔偿。

  Party B must take good care of the property; otherwise Party B should pay compensation to Party A for his improper use of the property.

  7.4 除房内已有的装饰和设施外,乙方如要增加设备或其他装修须征得甲方同意。租赁期满,乙方向甲方交还房产时,除双方另有约定外,应恢复其原状(正常磨损除外)未经甲方书面同意,乙方不得擅自设立、安装或移动设施及设备,不能擅自设立隔断,不得擅自对房屋的结构改动或增加。

  In addition to the decoration and equipment already in the property, if Party B wishes to make any alterations or decoration to such property, Party B should get the consent of Party A. On completion of the Lease term, Party B must hand over the property to Party A in its original condition(except for normal wear) Party B shall not erect, install or remove any fixtures or partitioning, or to make any structural additions and alterations without the prior written consent of Party A.

  7.5 由于乙方或乙方关联人员的粗心、疏忽或故意而造成房屋的损害或损失的,乙方应当承担赔偿责任,并允许甲方或其授权人在事先通知后进入房屋,对房屋的损失或损害进行弥补及修复,由此所发生的费用由乙方负担。

  Party B shall indemnify Party A from any loss or damages to the leased property from negligent act or omission of Party B or its connecter and shall permit Party A or his authorized representatives with advance notice to enter the leased property to repair any such loss or damage at the expense of Party B.

  7.6 租赁期间,乙方必须严格遵守中华人民共和国的有关法律、细则、规章及法令的规定, 不得利用房屋进行违犯法律及不道德的行为。

  Strictly to comply and adhere in the usage of the leased property according to all laws, regulations and decrees of the People's Republic of China, and specifically not to permit the leased property to be used for any purpose that is unlawful or immoral.

  第8条 违约责任

  Breach of Agreement

  任何一方违反本协议的规定,或其他在本协议内所作的陈述、保证或承诺,造成另一方经济损失的,违反方应依照合同约定承担相应的违约责任和赔偿责任。

  Any Party who breaches the provisions of this Agreement, or its representations, warranties or convents made hereunder, causing the other Party loss, shall bear responsibility for compensation according to the Agreement term.

  第9条 不可抗力

  Force Majeure

  房屋由于火灾、恶劣天气、战争或其它不可抗力因素, 而不是因为乙方直接或间接的疏忽及故意行为造成房屋毁坏而不能被正常使用及居住时,乙方从该日起停止支付租金,直至房屋可再被使用及居住时为止。若甲方根据自己的意愿及经济、实际意义等原因认为没有必要修缮复原房屋时,应书面通知乙方,并在做出上述通知后三日内将押金及预付租金全部退还乙方。

  If the leased property are substantially destroyed or damaged by fire, bad weather, war, and other factors of Force Majeure, and not attributable directly or indirectly to the negligence or malice of Party B or are otherwise rendered unfit for use or occupation, the rent shall cease to be payable from the date the leased property become unfit for use or occupation until the leased property shall again be rendered accessible and fit for use, however, that the Party A shall be under no obligation to repair the leased property, when in Party A's opinion, it is not reasonably or economically or practically to do so. If such an event occurs, Party A shall give a written notice to Party B, and the deposit and the rest of rent paid by Party B shall be returned in full within 3 days of said notice.

  第10条 适用法律及争议的解决:

  Legislation & Arbitration of the Dispute:

  本租约受中华人民共和国法律的约束,如发生与本租约有关的争议,由双方友好协商解决,协商不成,按下列第_________种方式解决:

  (1)提交_________仲裁委员会仲裁;

  (2)依法向租赁房屋所在地人民法院起诉。

  This Lease Agreement shall be governed by the laws of the PRC. In case any dispute arises over this agreement, the two Parties shall negotiate friendly, if failed, each party may dispose according to the ______ means as stipulated as below,

  1) submit it to Arbitration Committee for arbitration.

  2) appeal to the People's Court at the place where the Leasing Premises locates.

  第11条 通 知

  Notice

  甲方和乙方特此约定,所有关于对方的权利或义务的交给对方的通知应书面做出,并由通信员、邮件、传真或急件信使送至扉页地址。任何一方名称或地址发生任何变更应立即书面告知对方,否则应自行承担由于不能送达导致的法律后果。

  Party A and Party B agree hereby that all notices to be delivered to the other Party with regard to either Party's rights or obligations shall be in writing and be sent by messenger, mail, facsimile or courier to the addresses listed at the cover page. Each party must inform the other party immediately any change of its name or address if any, otherwise, it should solely take the legal responsibility resulted from such delivery failure.

  第12条 其它:

  Others:

  12.1 本租约未尽事宜,经甲、乙双方协商一致,可订立补充条款。本租约补充条款、附件均为本租约不可分割的组成部分,本租约正文及其补充条款、附件具有同等法律效力。

  Party A and Party B shall make the supplementary agreements for the unaccounted term of this agreement through negotiation between Party A and B. All supplementary term and the appendix forms are internal parts of this Agreement and shall have the same force and effects as the main text of this Agreement.

  12.2 本租约自签字之日起生效,租约文本一式肆份,甲、乙两方各执两份,中英文具有同等法律效力。中英文条款及意思如有不一致之处, 以中文为准。

  This Agreement shall become effect on the date after the signing by both parties. Four originals shall be signed. Each Party shall hold two copies of this original Agreement. And the agency hold one original Both Chinese text and English text shall have the same legal effect. In the event that there is any disagreement between the Chinese version and English version, the Chinese version shall prevail.
