  甲、乙双方在自愿、平等、互利的基础上,经协商一致,就乙方承租甲方融资事宜,订立本合同。

  Having reached unanimity through consultations, Party A an d Party B, on the basis of voluntariness, equality an d mutual benefit, have entered into this Contract in respect of Party A leasing the Premises to Party B.

  一、租赁融资

  Leased Premises

  1.1 甲方将坐落于上海 市 区 路 弄 号 室(以下简称'该融资')出租给乙方使用,该融资建筑面积为 平方米。

  Party A lets (hereinafter referred to the Premises), to Party B, an d the size of the Premises is square meters.

  1.2 甲乙双方确定该融资用途为 住宅 .

  Both Party A an d Party B have confirmed that the Premises shall be fo r the purpose of Residential.

  1.3 该融资的家俱、家电配置,见本合同附件一。

  The furniture & appliances of the Premises please see Appendix I.

  二、租赁期

  Leasing Term

  2.1 本合同租赁期为 个月,自 年 月 日起至 年 月 日止。

  The leasing term of this contract shall be calendar months,

  2.2 租赁期满,甲方有权收回该融资,乙方应如期归还;乙方如要求续租,须在 本合同期满前 个月向甲方提出书面申请,经甲方同意后重新签订租赁合同。

  On expiry of this lease, Party A has the right to take back the Premises, an d Party B shall return the Premises on time. I f Party B wishes to extend the lease, Party B is required to give written notice to Party A months prio r to the expiry of the lease an d subject to Party A an d Party B's consent, a new leasing contract shall be signed.

  三、租金及保证金

  Rental an d Deposit

  3.1 租金为每月 元人民币,租金含融资管理费,发票。

  The monthly rental is per month, inclusive of management fee, fo rmal invoice.

  3.2 乙方应予签署本合同后五日内向甲方支付相当于一个月租金的金额,即人民币

  元,作为保证金,甲方应出具收据给乙方。在租赁期满,乙方如期交还该融资,并付清居住期间所有租金和其它费用后十五天内,甲方应将保证金无息退还乙方。

  Within five days after the signing of this Contract, Party B shall pay

  to Party A as Deposit, which is equivalent to one months' rental, an d Party A shall issue a receipt fo r the said value. At the expiration of the Contract, Party A shall refund the Deposit to Party B without interest within 15 days after Party B has returned the Premises an d paid all the rent an d other expenses fo r the terms that Party B has occupied the Premises.

  3.3 乙方应在每月 日前支付该月租金,若乙方在租金到期后十五天仍未支付,

  每逾期一天,则乙方应按日租金的 支付滞纳金。若超过三十天未付,则视乙方自动退租并构成违约,甲方有权收回该融资,没收保证金并追究相关损失。

  Party B shall pay the rental on o r befo re the day of each calendar month. I f the Rent has not been paid within 15 days of its due date, Party B shall be required to pay a late penalty fee equal to

  of the rental per day fo r each day of delay. I f the rental has not been paid mo re than 30 days after the due date,

  Party b will be deemed to have automatically terminated the leasing resulting in a breach of the Contract, Party A will be entitled to take back the Premises, retain deposit an d seek related losses.

  3.4 甲方在收到租金后五天内应提供给乙方正式发票,若甲方在月底前仍未提供乙方发票,则乙方有权延迟支付下月租金直至收到正式发票。甲方有责任根据税务局和/或房管局的规定、要求和有关程序支付相应的有关租赁房屋的税款。

  Party A will issue an official invoice within 5 days after receiving the rental. I f Party A has not issue an official invoice by the end of the month, Party B has the right to delay the payment of the following month's rental until the invoice of the said month is received. Party A is responsible fo r complying with regulations, requirements an d procedures o riginating from the Tax Bureau an d/o r Housing Bureau related to the taxes of the rent of the Premises.

  收取租金时,房东的银行所收的手续费由房东支付。

  The remittance fee charged by the Lan dlo rd's bank fo r receiving should be paid by the Lan dlo rd.

  四、出租人的责任

  Lan dlo rd's Responsibilities

  4.1 甲方须按时将出租融资及家具电器(见附件一)以良好的状态交付给乙方使用。

  Party A should deliver on schedule the leased property an d the furniture an d appliances (refer to Appendix I) in good condition to Party B.

  4.2 甲方应确保或责成融资管理公司对融资及其公共设施进行定期维修保养,包括

  4.3 但不限于融资内的空调、上下水管、电线电缆、煤气管道、通讯及有线电视等设施,使之处于正常的使用状态。

  Party A should guarantee o r o rder the property management company to carry out maintenance an d repair of the said premises an d the facilities in good an d proper operation regularly, including but not restricted to air-conditions, water pipelines, wires an d cables, gas pipelines, communication an d cable TV etc.

  4.3 房屋基本设施和结构损坏时(不包括乙方损坏的家具和器具),甲方必须在24 小时内提供维修服务或给予乙方答复,并承担相关的费用。

  In case of the basic facilities an d structure of the premises being damaged (not including furniture an d appliances damaged by Party B), Party A shall repair o r respond to Party B's complaints within 24 hours, an d bear all costs related thereto.

  4.4 甲方在此声明及保证甲方为出租房屋的合法拥有人并有合法地位出租此房屋给乙方。就本合同及出租此房屋于乙方之事,甲方已取得所有有关机构的批准,包括政府批准及抵押权人的同意。甲方于本合同所做出的声明与保证,如有错误或违反者,甲方须就因此而对乙方引起的任何损失、损害、支出及费用对乙方做出全额补偿。

  Party A hereby represents an d warrants that Party A is the legal owner of the leased property an d has the necessary capacity to lease the property to Party B. Party A has also obtained all the necessary autho rizations from all relevant autho rities in respect of this Contract an d the leasing of the property to Party B, including government approval an d/o r mo rtgage consent. Party A shall be liable to keep Party B fully indemnI fied against any costs, expenses, losses an d damages incurred an d suffered by Party B as a result of any breach of Party A's representations o r warranties herein.

  4.5 如在租赁期内,租赁房屋发生所有权全部或部分转移,和其它影响乙方权益的事情时,甲方应保证所有权人或其它影响乙方权益的第三人,能继续遵守本合同所有条款。如乙方于本合同下的权益受此等所有权人或第三者影响或损害,甲方应负责赔偿乙方的所有损失、损害、支出及费用。

  I f during the term of the tenancy, all o r part of the leased property is transferred o r Party B's right to use leased property is affected, Party A shall ensure that such transferee o r third party having an effect onParty B's right to use the leased property will continue to abide by the terms of this Contract. Party A shall also be liable to keep Party B fully indemnI fied against any costs, expenses, losses

  an d damages when any of Party B's interests herein are affected o r prejudiced by such transferee o r third party.

  4.6 甲方应负责根据中国法律法规所定因本楼宇租赁而产生的一切税务(包括但不限于房产税,所得税和营业税)和法定费用(包括但不限于土地使用费),并必须将该些税务和法定费用直接向有关税局缴付。

  The Lan dlo rd shall be responsible fo r an d pay directly to the relevant tax autho rities all applicable taxes (including but not limited tA ltereal Estate Tax, Income Tax an d Business Tax) an d other government charges (including but not limited to Lan d Use Fee) required by Chinese law o r any relevant regulations arising from the leasing of the Premises.

  4.7 在乙方遵守本合同的条款及交付租金的前提下,乙方有权于租赁期内拒绝甲方或其他人骚扰而安静享用出租房屋。

  Provided that Party B paying the rental an d perfo rming an d observing party B's terms an d conditions herein contain shall peaceably hold an d enjoy the Premises throughout the term of this Contract without any interruption by Party A o r other persons.

  4.8 租期为一年,如若任何一方提前解约,支付违约金为一年的租金(人民币78000.00元)。

  Leasing Term is one year. I f any side terminates the agreement ahead

  of time, must pay the penalty is one year rent(RMB78000.00yuan)。

  五、承租人的责任

  Tenant's Responsibilities

  5.1 乙方应按时支付合同中规定的保证金、租金及水、电、煤气、电话费,宽带费等公用事业费。

  Party B should promptly pay the deposit, rental an d water, broad ban d,electricity, gas, telephone charge etc.

  5.2 未经甲方书面同意,乙方不得将该融资转租或分租给第三方。

  Party B shall not transfer o r sub-lease the said premises to any third party without Party A's written consent.

  5.3 乙方应爱护使用租赁的房屋,如因乙方的过失或过错致使房屋及设施受到损坏(正常损耗除外),乙方应负赔偿责任。

  Party B shall treat the leased property with care. I f, as a result of

  Party B's negligence o r misconduct, the leased property an d the related facilities suffer any damage (fair wear an d tear excepted), Party B shall be responsible fo r compensating Party A fo r such damages.

  5.4 除在融资内已有的装饰和设施外,乙方如要增加设备或装修,须征得甲方的同意,甲方不得无理拒绝或延误;租赁期满必须恢复原状(正常损耗、磨损除外),并承担其费用,经甲方验收认可后归还甲方。甲方同意期满前两个月通知乙方其所需拆除的在融资内的任何改变及改进的设施。

  In A ddition to the deco ration an d equipment already in the property, I f Party B wishes to make any A lterations o r improvements to the property, Party B must get Party A's consent. Any such consent shall not be unreasonably withheld o r delayed. On expiry of the tenancy, Party B must han d over the property to Party A in its o riginal condition (fair wear an d tear excepted)。 All fees arising from such wo rk to do so are to be bo rne by Party B. Party A agrees to provide Party B with two months' notice prio r to the expiry of the contract, in the event Party A requires demolition of any A lteration o r improvement carried out to the property by Party B.

  5.5 若乙方、乙方雇员或任何其他经乙方许可的人员进入该融资,对甲方或其他住户造成损失,不论故意或过失,乙方皆应对造成的所有损失予以赔偿。

  In case of Party B, employees of Party B o r any other person permitted by Party B to enter the property causing damages to Party A o r other tenants, whether intentionally o r negligently, Party B shall compensate fo r all the losses caused by such damages.

  5.6 乙方不得携带任何违禁危险物品进入该融资,严禁从事任何违反中华人民共和国法律法规的活动;如因此发生损害,乙方应承担全部责任。

  Party B shall not bring anything dangerous o r fo rbidden in the leased property, an d not behave against the laws o r regulations of the People's Republic of China, an d shall be fully responsible fo r any damages o r losses as a result thereof.

  5.7 在本合同期满前一个月内,乙方应允许甲方或其指定的代理人经与乙方预约后,在合理的时间内陪同其他有兴趣租住该楼宇的人士参观

  The Tenant shall permit the Lan dlo rd o r its designated agent to enter the Premises with other potential tenants to see the Premises, at reasonable time an d upon prio r appointment with the Tenant within one month befo re the expiration of this Contract.

  5.8 租期为一年,如若任何一方提前解约,支付违约金为一年的租金(即人民币 元)。

  Leasing Term is one year. I f any side terminates the agreement ahead

  of time, must pay the penalty is one year rent(RMB yuan)。

  六、违约处理

  Breach of Contract

  6.1 甲、乙任何一方如未按本合同的条款履行,构成违约,应承担相应的违约责任,

  双方同意违约方应赔偿受害方之直接损失(间接和结果性损失除外)。甲方若有违约并在七日内未予补救,乙方则有权延付租金和管理费或做相应的扣除。

  I f either Party A o r Party B fails to perfo rm its obligations hereunder, it shall constitute a breach of this Contract an d the defaulting party shall undertake the liabilities fo r such breach. The parties agree that the party in breach shall pay the other party the direct losses an d damage (excluding indirect an d consequential loss an d damages)。 I f Party A is in breach of this Contract an d does not rectI fy within 7 days, then Party B is entitled to withhold o r deduct the rental as well as management fee.

  6.2 甲方有下列行为之一的,乙方有权中止本合同,甲方除应退还乙方保证金和已支付但未居住的租金外,还应支付乙方两个月的租金的金额作为赔偿。

  Party B shall have the right to terminate the Contract an d have recourse to a refund of the two month's security deposit an d rental already paid together with a compensation sum equivalent to two months rental I f party A commits one of the following:

  (a) 未经乙方同意,在租赁期间收回该融资。

  During the lease term, take possession of the Premises without Party's B consent.

  (b) 本合同开始三十天后,仍未向乙方移交该融资。

  Fail to han d over the Premises to Party B within thirty days after the commencing date of the Contract.

  6.3 乙方有下列行为之一的,甲方有权中止本合同,收回该房屋并且保证金不予退

  还。

  Party A shall have the right to terminate this Contract, re-possess the leased property an d fo rfeit the security deposit I f Party B commits one

  of the followings.

  (a) 将承租的房屋擅自转租,但转租给乙方本公司人员除外。

  Sublets the leased property to another person without Party A's

  consent, but associated person of Party B excepted.

  (b) 未得甲方同意,将承租的房屋擅自拆改结构或改变用途的。

  A lters the structure of the premises without autho rization o r uses the premises other than the purpose stated herein.

  (c) 无故拖欠租金超过三十天。

  Fail to pay rental without any reason fo r mo re than 30 days after the due date.

  七、不可抗力

  Fo rce Majeure

  若由于不可抗拒的自然灾害(包括但不限于火灾、洪水、地震、施工、战争、暴动、敌队等行为等)或其它非双方过错所造成的对本融资的损毁致使其无法居住或使用本融资,双方有权中止本合同,甲方必须退还乙方所有保证金和已支付但未居住的租金。届时合同双方将不再承担进一步的任何责任。

  I f the leased property is destroyed, damaged an d rendered uninhabitable an d unusable due to fo rce majeure (including but not limited to fires, flood, earthquake, accidents, strikes, wars, insurrections, public enemy etc.) o r actions that are not the result of Party A o r Party B's fault, either party has the right to terminate the Contract an d pro rated balance of al rental prepaid, as well as the deposit, shall be returned to Party B. Thereafter, the both parties shall not have any responsibilities to each other.

  八、争议的解决

  Dispute Resolution

  凡因本合同条款、翻译、任何合同相关事宜所引起的一切争议,双方应友好协商解决;协商不成,应提交上海市仲裁委员会,按其仲裁原则和中华人民共和国仲裁法在上海进行仲裁,仲裁裁决是终局的,对双方都有约束力。

  Any dispute o r dI fference that arise between Party A an d Party B relating to any clause, interpretation, matter o r things whatsoever herein connected with this agreement shall be settled amicably between both parties hereof. I f such negotiation fails, the parties shall submit the

  dispute to arbitration by Shanghai Arbitration Commission in Shanghai acco rding to its arbitration rules. The decision of the arbitrage body is final an d shall binding on the parties hereto.

  九、其它

  Others

  9.1 本合同附件是本合同不可分割的一部分,与本合同具有同等效力。

  The Appendix of the Contract is indispensable part of the Contract an d shall have the same effect.

  9.2 本合同由中英文写成,中英文本具有同等效力;如果中英文本发生差异,以中文为准。

  The Contract is written in Chinese an d English, both Chinese an d English versions have the same validity, but in case of the

  discrepancy of the translation, the Chinese version shall prevail.

  9.3 准备和签订本合同的法律费用由双方各自承担。合同登记费用和印花费由双方平均负担。

  Each party shall bear their own legal fees fo r the preparation an d completion of this Contract. The registration fee of this Contract an d the stamp duty shall be bo rne by the parties in equal share.
